Agreement to Terms

By accessing or using Koordie ("Service," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Description of Service

Koordie is a family calendar coordination application that allows users to:

  • Create and manage shared family calendars
  • Schedule and organize events
  • Invite family members to calendars
  • Synchronize with Google Calendar
  • Receive notifications about events and updates

Important Notice: Koordie is operated as a hobby project by an individual developer on a part-time basis. The Service is provided with limited resources and support. You acknowledge and accept that:

  • The Service may not have 24/7 availability or support
  • Response times for issues may vary
  • The Service may be discontinued at any time with limited notice
  • Critical bugs or security issues may not be immediately addressed
  • The operator has no obligation to maintain or continue the Service indefinitely

Eligibility

You must be at least 13 years old to use Koordie. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

User Accounts

Account Creation

  • You must sign up using a valid Google account
  • You are responsible for maintaining the security of your account
  • You must provide accurate and complete information
  • You may not share your account credentials with others

Account Responsibilities

You are responsible for:

  • All activity that occurs under your account
  • Maintaining the confidentiality of your login credentials
  • Notifying us immediately of any unauthorized access
  • Any content you create, share, or upload through the Service

Acceptable Use

You Agree To

  • Use the Service only for lawful purposes
  • Respect the privacy and rights of other users
  • Provide accurate information
  • Comply with all applicable laws and regulations

You Agree NOT To

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or viruses
  • Attempt to gain unauthorized access to the Service
  • Harass, abuse, or harm other users
  • Use the Service for spam or unsolicited communications
  • Impersonate others or misrepresent your affiliation
  • Interfere with the proper functioning of the Service
  • Use automated systems to access the Service without permission
  • Reverse engineer or attempt to extract source code

User Content

Your Content

  • You retain ownership of any content you create or upload
  • You grant us a license to use, display, and store your content to provide the Service
  • You are responsible for ensuring you have rights to share any content
  • We may remove content that violates these Terms or applicable laws

Calendar Data

  • Calendar events and information you create are shared with family members you invite
  • You are responsible for the accuracy of calendar information
  • We are not responsible for conflicts, errors, or missed events

Third-Party Services

Google Services

Koordie integrates with Google OAuth and Google Calendar. Your use of Google services is subject to Google's Terms of Service and Privacy Policy.

Third-Party Links

The Service may contain links to third-party websites or services. We are not responsible for the content or practices of third-party sites.

Intellectual Property

Our Rights

  • Koordie and all related trademarks, logos, and content are owned by us
  • You may not use our intellectual property without permission
  • The Service is protected by copyright, trademark, and other laws

License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes, subject to these Terms.

Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

Payments and Subscriptions

Current Status

Currently, Koordie is provided free of charge. We may introduce paid features, subscriptions, or premium tiers at any time.

Paid Services

If and when we introduce paid services:

  • You will be notified of pricing and payment terms before being charged
  • Payment will be processed through third-party payment processors
  • Subscriptions will automatically renew unless you cancel
  • All fees are non-refundable except as explicitly stated below
  • We reserve the right to change pricing with 30 days notice to existing subscribers

Refund Policy

IMPORTANT - LIMITED REFUND RIGHTS:

  • Refunds are provided solely at our discretion
  • If the Service is permanently discontinued, you may receive a pro-rata refund for unused subscription time, capped at a maximum of one month's subscription fee
  • No refunds will be provided for:
    • Temporary service outages or unavailability
    • Your dissatisfaction with features or functionality
    • Your inability to use the Service due to technical issues on your end
    • Data loss or calendar conflicts
    • Termination of your account for violation of these Terms
  • Refund requests must be made within 14 days of service discontinuation
  • We have no obligation to provide refunds beyond the amounts explicitly stated herein

Service Discontinuation and Paid Subscriptions

You expressly acknowledge and agree that:

  • The Service may be discontinued at any time, for any reason, including the operator's inability to maintain it
  • If paid subscriptions exist at the time of discontinuation, your sole remedy is a pro-rata refund as described above (capped at one month)
  • You waive any claims for damages, lost productivity, or other losses resulting from service discontinuation
  • The operator has no obligation to migrate your data or provide alternative services
  • The limitations in this section apply even if you have an active paid subscription

Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue the Service at any time, with or without notice
  • Change features, functionality, or availability without liability
  • Update these Terms with notice to users
  • Limit access to certain features or users
  • Cease operations permanently due to technical, financial, or personal reasons

Notice of Changes: While we will attempt to provide reasonable notice of material changes or service discontinuation, you acknowledge that immediate termination may be necessary due to:

  • Technical failures or security vulnerabilities
  • Financial constraints
  • Operator's inability to continue maintaining the Service
  • Legal or regulatory requirements
  • Force majeure events

You agree that we are not liable for any modifications, suspensions, or discontinuation of the Service, regardless of the reason or amount of notice provided.

Termination

By You

You may delete your account at any time through the Service settings.

By Us

We may suspend or terminate your access to the Service:

  • If you violate these Terms
  • If we suspect fraudulent or illegal activity
  • For any reason with or without notice
  • If required by law

Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • We may delete your account and data
  • Sections of these Terms that should survive will remain in effect

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of accuracy, reliability, or availability
  • Warranties that the Service will be uninterrupted or error-free
  • Warranties that defects will be corrected
  • Warranties regarding data security, backup, or preservation
  • Warranties of continued operation or support

ADDITIONAL DISCLAIMERS FOR HOBBY PROJECT:

  • The Service is operated by an individual developer on a part-time, hobby basis
  • There is no dedicated support team or guarantee of support response times
  • Critical bugs, security vulnerabilities, or service outages may not be immediately addressed or resolved
  • The Service may be discontinued at any time without prior notice
  • The operator makes no warranties regarding the Service's suitability for any particular purpose, including time-sensitive family scheduling
  • Even if you pay for the Service, these disclaimers apply in full

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK AND THAT THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE OPERATOR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

You use the Service entirely at your own risk. You are solely responsible for maintaining alternative calendar systems and backup plans for time-sensitive events.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE ARE NOT LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE
  • WE ARE NOT LIABLE FOR MISSED EVENTS, SCHEDULING CONFLICTS, OR ANY CONSEQUENCES THEREOF
  • WE ARE NOT LIABLE FOR SERVICE INTERRUPTIONS, DISCONTINUATION, OR DATA LOSS
  • WE ARE NOT LIABLE FOR SECURITY BREACHES, BUGS, OR TECHNICAL FAILURES
  • OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) $50 USD, OR (B) THE AMOUNT YOU PAID US IN THE 30 DAYS BEFORE THE CLAIM AROSE
  • FOR FREE USERS, OUR TOTAL LIABILITY IS $0 (ZERO DOLLARS)

HOBBY PROJECT LIMITATION: Because this Service is operated as a hobby project with limited resources, you acknowledge that the operator:

  • Has limited financial means to address claims or provide compensation
  • Cannot be held liable for inability to maintain, support, or continue the Service
  • Is not liable for any damages arising from the part-time, hobby nature of the Service
  • Is not liable for choosing to discontinue the Service for any reason, including personal, financial, or technical reasons

NO LIABILITY FOR DISCONTINUATION: You expressly waive any and all claims against the operator arising from or related to the discontinuation of the Service, whether temporary or permanent, regardless of whether you have a paid subscription. Your sole remedy in case of discontinuation is the limited refund described in the Payments and Subscriptions section.

Some jurisdictions do not allow certain limitations, so some of these may not apply to you. However, in such cases, our liability shall be limited to the minimum extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Koordie and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of others
  • Any content you create or share through the Service

Dispute Resolution

Governing Law

These Terms are governed by the laws of the United States and the state in which Koordie is operated, without regard to conflict of law provisions.

Informal Resolution

Before filing a claim, you agree to contact us to attempt to resolve the dispute informally.

Arbitration

Any disputes that cannot be resolved informally will be resolved through binding arbitration, except where prohibited by law. You waive your right to a jury trial and to participate in class actions.

Exceptions

Either party may bring a claim in small claims court or seek injunctive relief in court.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Koordie.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

Force Majeure

We are not liable for delays or failures in performance due to causes beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, pandemics, or public health emergencies
  • War, terrorism, civil unrest, or government actions
  • Internet or telecommunications failures
  • Third-party service provider failures (including Google, hosting providers, or payment processors)
  • Hardware or software failures
  • Operator's illness, injury, or personal circumstances
  • Operator's employment or personal time constraints
  • Financial constraints or inability to continue funding the Service
  • Any other circumstances beyond the operator's reasonable control

In the event of force majeure, the operator may suspend or terminate the Service without liability beyond the limited refund provisions described in these Terms.

Notices

We may provide notices through email, the Service, or our website. You consent to receive communications electronically.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Email notification
  • Notice on the Service
  • Updating the "Last Updated" date

Continued use of the Service after changes constitutes acceptance of the updated Terms.

Special Provisions

Calendar Accuracy

Koordie is a coordination tool. We do not guarantee:

  • Accuracy of calendar synchronization
  • Delivery of notifications
  • Availability during critical times
  • Prevention of scheduling conflicts

You are responsible for verifying important dates and times.

Family Invitations

  • You are responsible for who you invite to your calendars
  • Invited members will have access to all calendar information
  • You may remove members at any time
  • We are not responsible for disputes between family members

Data Backup

While we take reasonable measures to protect your data, you are responsible for maintaining your own backups of important information.

Beta Features

Some features may be in beta or testing phase. Beta features are provided "as is" and may be unstable or incomplete.

By using Koordie, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
